By downloading, installing, accessing, or using Proxigen QR Scanner ("the App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Proxigen ("Company," "we," "us," or "our").

2. Description of Service

Proxigen QR Scanner provides the following services:

Core Features

• QR Code Scanning: Utilize device camera to scan and decode QR codes
• Device ID Detection: Extract and validate device identifiers from QR codes
• Device Registration: Register and manage devices in our secure system
• History Tracking: View scan history and device interactions
• Security Features: Verify device authenticity and prevent unauthorized access

Service Availability

While we strive to provide uninterrupted service, we do not guarantee that the App will be available at all times. Service may be interrupted for maintenance, updates, or due to factors beyond our control.

3. Eligibility and Account Registration

Age Requirements

You must be at least 13 years old to use the App. If you are between 13 and 18 years old, you must have parental or guardian consent to use the App.

Account Responsibilities

If the App requires account creation, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. User Conduct and Responsibilities

Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

Prohibited Activities

You agree NOT to:

• Attempt to reverse engineer, decompile, or disassemble the App
• Modify, adapt, or hack the App or modify another website to falsely imply association with Proxigen
• Use the App to transmit viruses, malware, or any malicious code
• Interfere with or disrupt the App's servers or networks
• Attempt to bypass any security features or access restrictions
• Use automated systems or bots to access the App
• Collect or harvest user data without authorization
• Impersonate any person or entity or falsely represent your affiliation

5. Permissions and Privacy

Required Permissions

The App requires certain device permissions to function properly:

• Camera Access: Essential for QR code scanning functionality
• Internet Connection: Required for device registration and synchronization
• Storage (Optional): May be used for caching scan history locally

Privacy Practices

Your use of the App is also governed by our Privacy Policy, which details how we collect, use, and protect your information. By using the App, you consent to our data practices as described in the Privacy Policy.

6. Intellectual Property Rights

Proxigen's Rights

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Proxigen and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for your personal or internal business purposes
• Access and use the App in accordance with these Terms

Restrictions

You may not:

• Copy, modify, or create derivative works of the App
• Distribute, sublicense, lease, or lend the App
• Use the App for commercial purposes without our written consent

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, PROXIGEN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS
• SECURITY OR ERROR-FREE OPERATION
• AVAILABILITY OR UNINTERRUPTED ACCESS

No Guarantee

We do not warrant that:

• The App will meet all your requirements or expectations
• The App will be uninterrupted, timely, secure, or error-free
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components

10. Limitation of Liability

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROXIGEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the App
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content on the App
• Any other damages related to the App

Aggregate Liability Cap

IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO PROXIGEN IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Essential Purpose

These limitations apply even if Proxigen has been advised of the possibility of such damages and even if any remedy fails its essential purpose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Proxigen and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the App
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any content or data you provide through the App

12. Termination

Termination by You

You may stop using the App at any time by uninstalling it from your device. If you have an account, you may also request account deletion by contacting us.

Termination by Proxigen

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice, including but not limited to:

• Violation of these Terms
• Conduct that we believe is harmful to other users or Proxigen
• At our sole discretion for any reason

Effect of Termination

Upon termination:

• Your license to use the App immediately ceases
• You must stop all use of the App and delete it from your devices
• Provisions that by their nature should survive termination will continue to apply

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of these Terms
• For significant changes, we will provide notice through the App or by email
• Your continued use after changes constitutes acceptance of the modified Terms
• If you disagree with the changes, you must stop using the App

Governing Law

These Terms shall be governed by and construed in accordance with the laws of US, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, we encourage you to contact us at legal@proxigen.com to attempt to resolve any dispute informally.

Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of US. The arbitration shall be conducted in US, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree to resolve disputes with Proxigen on an individual basis and waive your right to participate in any class action or class-wide arbitration.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proxigen regarding the App.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
